Terms and Conditions of Madi Overseas
1. Introduction:

   a. Madi Overseas (hereinafter referred to as "the Agency") is a licensed manpower recruitment agency engaged in the placement of skilled, semi-skilled, technical, and professional workers abroad.
   b. The Client agrees to engage the Agency's services for the purpose of recruiting and providing qualified manpower as per the Client's requirements.
2. Scope of Services
   a. The Agency will source, screen, and present suitable candidates to the Client based on the job specifications provided.
   b. The Client will provide detailed job descriptions and requirements for each position.
   c. The Agency will facilitate the entire recruitment process, including interviews, medical examinations, visa processing, and travel arrangements.
3. Fees and Payment
   a. The Client agrees to pay the Agency a mutually agreed-upon fee for its recruitment services. This fee may be a percentage of the hired worker's salary or a flat fee.
   b. Payment terms and schedules will be outlined in a separate agreement.
   c. The Client is responsible for any additional costs related to visa processing, medical examinations, and travel expenses for the hired workers.
4. Candidate Selection
   a. The Agency will present candidate profiles to the Client for review.
   b. The Client will have the final authority to select or reject candidates.
   c. Once selected, the Client will provide a formal job offer letter to the chosen candidates.
5. Visa and Documentation
   a. The Agency will assist in obtaining necessary visas and work permits for the hired workers.
   b. The Client will provide the required support and documentation for visa processing.
   c. Any delays or issues related to visa processing will be communicated promptly between the parties.
6. Guarantees and Replacements
   a. The Agency may offer a guarantee period during which it will replace any candidate found unsuitable or who leaves the employment within a specified timeframe.
   b. Replacement candidates will be provided without additional placement fees within the guarantee period.
7. Confidentiality
   a. Both the Agency and the Client agree to maintain strict confidentiality regarding all information related to candidates, clients, and the recruitment process.
8. Termination
   a. Either party may terminate this agreement with written notice, subject to any contractual obligations.
   b. Termination may incur additional costs or penalties as outlined in the agreement.
9. Dispute Resolution
   a. Any disputes arising from this agreement will be resolved through negotiations between the parties.
   b. If negotiations fail, the matter may be referred to arbitration or legal action, as per local laws.
10. Governing Law
   a. This agreement is governed by the laws and regulations of [Jurisdiction].
